Terms of Service
Last updated September 11, 2026.
1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and Little Forge Digital, a sole proprietorship registered in Manitoba, Canada ("Memorie," "we," "us"), the developer of Memorie. They govern your use of the Memorie mobile app, the Memorie website, and every feature either one offers (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Who can use Memorie
You must be at least 13 years old to use Memorie. If you are between 13 and 17, a parent or legal guardian must review and agree to these Terms on your behalf, and by creating an account you represent that they have done so. Memorie is not directed at children under 13, and we do not knowingly collect personal information from anyone under 13 — if we learn that we have, we will delete that account and its data.
If you are a parent or guardian and believe your teen has an account and you did not consent to it, contact us at the address in Section 16 and we will address it promptly, including deleting the account if you ask.
You also need to be legally able to enter into a binding contract in your country or state of residence, and your use of Memorie must comply with all laws that apply to you.
3. What Memorie is, in plain terms
Memorie lets you capture things you want to remember — typed notes, voice, photos, and documents — and later find or ask about them. "Ask" is Memorie's conversational feature for querying your own saved memories; it is powered by third-party generative AI models (currently including models from Anthropic and OpenAI), not a human. Every response you get from Ask is generated by AI and can be wrong, incomplete, or misleading — don't rely on it for anything where being wrong has real consequences (medical, legal, financial, or safety decisions) without independently checking.
Optional features let you connect a Google or Microsoft account (for Calendar/Tasks context) or scan your device's photo library or email — each is opt-in, and disconnecting one in Settings stops Memorie's access to it going forward. See our Privacy Policy for exactly what each integration reads and how long it's kept.
4. Your account
You're responsible for keeping your login credentials secure and for everything that happens under your account. Tell us right away if you think someone else has accessed it. You may only create and use one account for yourself — accounts may not be shared, sold, or transferred.
5. Your content
Everything you capture — your notes, photos, documents, and anything else you add — is yours. We don't claim ownership of it. By using the Service, you give us a limited license to store, process, and transmit your content solely to operate and improve the Service for you (for example, sending your memory text to an AI provider so Ask can answer a question about it, or storing a photo so you can view it later). We do not use your content to train our own foundation models, and we do not sell it. See the Privacy Policy for the full list of who we share data with and why.
You're responsible for what you capture. Don't use Memorie to store or generate content that is illegal, infringes someone else's rights, or that you don't have the right to store (for example, someone else's private information shared without their consent).
6. Acceptable use
Don't use Memorie to: break the law; harass, threaten, or harm anyone; attempt to access another user's account or data; reverse-engineer, scrape, or interfere with the Service or its infrastructure; upload malware; or use the Ask feature to generate content that violates Anthropic's or OpenAI's own usage policies (both prohibit things like generating content intended to harm minors, malware, or content used to deceive people into believing they're talking to a human — Ask always discloses that it's AI, and this can't be worked around).
We can suspend or terminate accounts that violate this section, with or without notice, depending on severity.
7. Subscriptions and payment
Memorie offers a free plan and paid plans (currently Pro and Assistant, each available monthly or annually) with higher usage limits, billed through Stripe. Paid plans renew automatically at the price and interval you signed up for until you cancel. You can cancel anytime from the billing portal in Settings — cancelling stops future renewals but doesn't refund the current billing period, and your plan stays active until that period ends.
We may change prices for future billing periods; if we do, we'll give you notice before it takes effect on your account. Downgrading or cancelling never deletes anything you've already saved — it only changes how much new capacity you have going forward.
Refunds aren't guaranteed but we'll look at requests case-by-case — contact us at the address in Section 16.
8. Third-party services
Memorie's AI features depend on third-party providers (currently Anthropic and OpenAI), and optional integrations depend on Google, Microsoft, and your device's own OS. We aren't responsible for outages, changes, or errors originating from those providers, though we'll do our best to keep the Service working around them.
9. Intellectual property
Memorie's app, website, branding, and underlying software are owned by Little Forge Digital and protected by copyright and other laws. These Terms don't grant you any rights to our trademarks, logos, or source code beyond what's needed to use the Service as intended.
10. Disclaimers
The Service is provided "as is," without warranties of any kind, express or implied, including any warranty that it will be uninterrupted, error-free, or that AI-generated answers will be accurate. Memorie is a memory and organization tool, not a substitute for professional medical, legal, or financial advice.
11. Limitation of liability
To the fullest extent permitted by law, Little Forge Digital will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you're on the free plan. Some jurisdictions don't allow these limitations, so some of this may not apply to you.
12. Termination
You can stop using Memorie and delete your account anytime from Settings — see the Privacy Policy for exactly what happens to your data on that timeline. We can suspend or terminate your access if you violate these Terms, or discontinue the Service entirely with reasonable advance notice.
13. Changes to these terms
We may update these Terms as Memorie changes. If a change is material, we'll notify you (by email or in-app) before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of the Service will be resolved exclusively in the courts located in Manitoba, Canada, and you consent to that jurisdiction.
15. Severability
If any part of these Terms is found unenforceable, the rest stays in effect.
